1. Confidential Information:
a. The Provider may disclose certain trading statements and related historical performance information (the “Confidential Information”) to the Recipient for the purpose of evaluating potential collaboration.

2. Non-Disclosure:
a. The Recipient agrees not to disclose, reproduce, or use the Confidential Information for any purpose other than the evaluation of potential collaboration, without the Provider’s prior written consent.
b. The Recipient agrees to treat all Confidential Information as strictly confidential and to take all reasonable measures to prevent unauthorized disclosure or use.

3. Non-Use for Replication:
a. The Recipient acknowledges that the Confidential Information is provided solely for the purpose of evaluating potential collaboration and agrees not to use the information gained to replicate or develop competing trading strategies.

4. Penalty for Breach:
a. In the event of a breach of this Agreement by the Recipient, the Recipient agrees to pay the Provider a penalty in the amount of 100,000 EUR as liquidated damages for each occurrence of a breach.

5. Governing Law:

a. This Agreement shall be governed by and construed in accordance with the laws of United Ara.

6. Miscellaneous:
a. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.
b. Any amendments to this Agreement must be in writing and signed by both parties.
